B-BOVID Limited, an integrated organic and biodiversity agribusiness firm, has lauded the Office of the Registrar of Companies (ORC) for upholding the Companies Registration Act, 2019 (ACT 992) and preventing an alleged unlawful take-over of B-BOVID Limited.
In a letter, the company said the ORC, in upholding the principles of transparency, fairness and lawfulness, intervened to prevent a hostile take-over in a recent incident involving the alteration of the shareholding structure of B-BOVID.
It said the Director-General of ORC, Jemima Oware’s insistence on following laid-down procedures and protocols, foiled the clandestine attempt by partners of B-BOVID.
The listed parties, the letter noted, include Herve Bourguignon, a French national who served as a Senior Advisor at Moringa cum partner at CIA Benjamin ROTHSCHILD SA, a Swiss private bank, and his accomplice Seth Kwasi Asante, who allegedly presented himself as B-BOVID’s secretary.
It added that the two allegedly attempted to manipulate the company’s constitution and remove the indigenous founder and shareholder, Issa Ouedraogo, from the business but for the due diligence of the ORC.
Following the intervention, Issa Ouedraogo, in a heartfelt letter, commended the Director-General of the ORC for safeguarding the principles of corporate governance.
“I would like to emphasise the significance of your actions in upholding the principles of transparency, fairness and the rule of law in our country. By doing so, you have set a commendable example for others to follow and have contributed to maintaining the integrity of our company and the business landscape of Ghana.
“The fact that both Moringa and BELA, as lawyers, were aware of the ongoing arbitration regarding the true ownership of B-BOVID makes your intervention even more commendable,” he said.
He added that the professionalism and dedication to work displayed by the team at the ORC was beyond his imagination and urged the office to keep up such integrity to build a trustworthy business environment in the country.
B-BOVID is an agribusiness based on social entrepreneurship principles and is promoting a new model of socially inclusive commercial farming, combining innovative agricultural practices with ecological farming. It wants to use the power of business to solve social and environmental problems through innovation and technology in agriculture.
